Information about the position

Job description, responsibilities and duties

In this role you will provide a broad range of corporate secretariat services, administrative and legal support to the team Corporate Governance EMEA in respect of legal entities located in EMEA and their branches and/or subsidiaries. This will involve also assistance and support activities related to board and committee meetings.

Your role will be:

- Organization of board or committee meetings (e.g. sending out calendar invites, updating the invites, booking meeting rooms) and drafting of documents for these meetings (e.g. agenda and resolutions) and execution of follow-up actions;
- Performance of corporate secretariat formalities (e.g. relating to the approval of annual accounts and changes in the board and management composition, incl. collection of internal approvals, preparation of statutory filings);
- Administration of company records and general record management;
- Arrange / support corporate governance certification and/or board self-assessment process;
- Support internal signing process (e.g. collect signatures in line with internal Swiss Re requirements);
- Handling requests for corporate documents from internal clients, auditors or regulators (e.g. KYC requests);
- Develop and maintain templates and standard procedures for corporate secretariat;
- Help with legal monitoring in relevant legislation and the regulatory environment.

About the Team

The Corporate Governance EMEA team is a multi-jurisdictional team composed of 9 Legal Counsels and Company Secretaries based in Bratislava, Luxembourg, London and Zurich, providing corporate governance and corporate secretariat services to legal entities of the Business Unit Reinsurance and of Group Operations in EMEA and their branches.

Dedicated partner of board and committee members of in scope entities, the team is accountable for compliance of in-scope entities with corporate governance laws, regulations and internal requirements.

Key activities are: corporate restructuring, legal entity creation, life cycle management, corporate secretariat, regulatory filings and license application and maintenance, internal and external regulatory investigations, legal monitoring, providing awareness and training to board and committee members and outside counsel management on behalf of the entities.

- Prior work experience in legal area, in-house or in a law firm is preferable
- Law university degree is preferable
- Excellent verbal and written communication skills in English (German/French language is a plus)
- Profound proficiency in MS Office products such as Outlook, Excel, Word, Power Point
- Ability to manage multiple requests and deadlines
- Self-motivation, organizational skills and detail orientation
- Discreteness and ability to handle confidential information
- Ability to work independently
