Job description, responsibilities and duties

PURPOSE

Under general direction, provide guidance and direction to Quintiles Attorneys regarding compliance issues, corporate and subsidiary registration, contract preparation, and litigation support. Assists Quintiles Attorneys with customer contracts, subsidiary organization, corporate filings, project management and legal research. Resource for contractual questions and issues to both internal and external customers and legal staff. Act as Team Lead for assigned Customers with primary focus on Customer Satisfaction with Quintiles' contracting process. Prepare initial drafts of contracts, revise contracts and prepare execution copies; track contracts in database; establish and maintain contract files; prepare and send client correspondence.

RESPONSIBILITIES
The responsibilities of the role will include some or all of the following:

• Provide support to Deputy General Counsel, Associate General Counsel and/or other members of the Legal team.
• Monitor general litigation and assists attorneys in pursuit or defense of litigation, including conducting legal research,
• drafting of legal and business communications, assistance to and liaison with outside counsel, and maintenance of the Company litigation report.
• Maintain compliance of corporate minute books for all U.S. subsidiaries, including annual filings, corporate minutes and board consents.
• Maintain trademark and other intellectual property portfolios, including accurate dockets, and reviews and tracks
• expenses.
• Research and compile information regarding prospective trademarks, trade names, trade dress, prints, and domain
• names; perform searches, prepare and file trademark application as and maintain trademark documentation.
• Provide oversight for maintenance of company's corporate subsidiary records and legal filings.
• Draft, revise and negotiate various Quintiles contracts.
• Interact internally and externally with executive level management and legal counsel on issues requiring negotiation.
• Participate as Team Member in dedicated Legal Negotiation Team to ensure consistency in approach, metrics, and format for assigned customers.
• Assist Sales staff in communicating with key customers; serve as Subject Matter Expert and contact for specific key
• customers as needed.
• Work as a team with other areas of Global Contracts and Global Market Development, Finance and Quintiles’ Operations to understand and review project requirements and determine how contract terms and conditions are affected.
• Ensure delivery of a final contract in a timely fashion, working independently or as part of a team.
• Identify support required from Attorney on contract terms that require extensive negotiation.
• Conduct complex written and/or verbal follow-up with Customers after the delivery of draft or signature-ready contracts.
• Attend regional meetings to discuss assigned project issues and disseminate information from meetings as appropriate.
• Assist in leading departmental activities directed toward meeting planned and projected Corporate goals including
• sales/revenue/customer satisfaction goals.
• May lead, as well as, participate in Team meetings.

REQUIRED KNOWLEDGE, SKILLS AND ABILITIES

• Proficient knowledge in legal research, company compliance policies and procedures
• Thorough knowledge of Quintiles’ standard contract terms, conditions and fallback language
• Strong skills using MS Office Suite: MS Excel, MS Word, MS PowerPoint
• Strong attention to detail
• Excellent organizational and analytical skills
• Excellent proofreading, editing and oral and written communication skills
• Ability to perform complex independent legal research
• Ability to handle confidential information appropriately
• Ability to work independently and as a member of a team
• Ability to handle and prioritize multiple priorities and meet established timelines
• Ability to review, comprehend and explain contract terms to customers
• Ability to establish and maintain effective working relationships with coworkers, managers and clients

MINIMUM REQUIRED EDUCATION AND EXPERIENCE
• Bachelor’s degree and paralegal certificate from an accredited school with 5 years paralegal experience working in a corporate environment and with in-house counsel on litigation and contracts; or equivalent combination of education, training and experience

PHYSICAL REQUIREMENTS
• Extensive use of telephone and face-to-face communication requiring accurate perception of speech
• Extensive use of keyboard requiring repetitive motion of fingers
• Regular sitting for extended periods of time
• Occasional travel
